Welcome to Awaken Health Institute. Please read these Terms of Service ("Terms", "Agreement") carefully before using our website, purchasing memberships, or participating in any educational courses, seminars, or live sessions (collectively, the "Services") operated by Awaken Health Institute, LLC ("Company", "we", "us", "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access or use our Services.

1. STRICTLY EDUCATIONAL AND INFORMATIONAL SERVICES

Awaken Health Institute, LLC provides generalized health education, physiological explanations, public whole-being principles, and peer community spaces.

  • No Medical Practice: The Services do not constitute the practice of medicine, nursing, or any other professional healthcare service in the State of California or anywhere else.

  • No Doctor-Patient Relationship: While founders, partners, or contractors of the Company may hold professional credentials (such as an M.D. or D.O. license), they are acting strictly as educators. Your use of this website, communication via email or forums, or participation in live sessions does not establish a doctor-patient, clinical, or therapeutic relationship.

  • No Clinical Services: We do not offer medical diagnosis, customized medical advice, clinical triage, laboratory tracking, or prescription drug management.

2. NOT A SUBSTITUTE FOR MEDICAL CARE

The content distributed by the Company is intended to assist you in understanding general whole-being concepts. It is completely independent of your personal medical history.

  • Consult Your Doctor: You are solely responsible for your own healthcare decisions. You must maintain a primary relationship with a qualified, licensed treating physician for any physical or mental health conditions.

  • Never Disregard Advice: You explicitly agree never to alter, stop, reduce, or delay any medical treatment, prescription medication dosage, or doctor-approved care plan based on information, discussions, or materials obtained through our Services.

  • Emergency Medical Situations: If you are experiencing a medical emergency, acute symptoms, severe pain, or mental health crises, call 911 or visit the nearest emergency room immediately. Our platform does not monitor for or respond to clinical emergencies.

3. LIVE SESSIONS AND PUBLIC Q&A BOUNDARIES

Our Services include live virtual workshops and interactive question-and-answer (Q&A) sessions.

  • Generalized Answers Only: If you submit a query during a session, our educators will abstract your question to discuss general physiological principles or standard medical literature. They will not provide a specific medical opinion on your case.

  • Privacy Acknowledgment: Live sessions are open to multiple participants. You agree not to disclose sensitive, highly specific, or private personal medical history or records during these open forums. The Company is not responsible for the peer-to-peer data disclosure that occurs if you choose to share your history in front of other members.

4. ACCOUNT SUBSCRIPTIONS, CANCELLATION, AND BILLING

We offer both one-time ticket access and recurring subscription memberships.

  • Automatic Renewals: If you sign up for a subscription tier, you authorize the Company to automatically bill your designated payment method at the interval specified during checkout (e.g., monthly or annually).

  • California One-Click Online Cancellation: In strict compliance with California's Automatic Renewal Law, you have full control over your subscription and can cancel at any time completely online. To cancel, simply log into your customer account panel on our website, navigate to your active Digital Products/Memberships section, and click "Cancel Subscription." You will not be billed further, and your access will expire at the end of your current paid billing cycle.

  • Refunds: All digital products, subscription fees, and one-off event tickets are non-refundable unless explicitly stated otherwise by the Company during checkout or required by local law.

5. RULES OF CONDUCT FOR COMMUNITIES

If your subscription includes community forums or chat channels, you must abide by our official Community Guidelines.

  • You must treat all members and educators with dignity and respect.

  • You may not post marketing materials, spam, or solicitations.

  • You may not solicit medical advice from other members or try to diagnose other members' conditions.

  • The Company reserves the right to immediately terminate your access, without a refund, if you violate community guidelines or badger educators for personal medical advice.

6. INTELLECTUAL PROPERTY

All materials, including videos, articles, downloadable PDFs, slides, graphics, and course structures, are the exclusive property of Awaken Health Institute, LLC. Your purchase grants you a limited, personal, non-transferable license for your own educational use. You may not record, redistribute, resell, or publicly display our content without prior written permission from the CEO.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION

To the maximum extent permitted by applicable California law:

  • As-Is Basis: All content and Services are provided on an "as-is" and "as-available" basis without any warranties of any kind.

  • Liability Cap: Awaken Health Institute, LLC, its officers, employees, and independent contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or reliance upon the educational information provided.

  • Indemnification: You agree to defend, indemnify, and hold harmless the Company and its licensees from and against any claims, damages, losses, or liabilities arising out of your violation of this Agreement or your misuse of the educational Services.

8. GOVERNING LAW

This Agreement and any disputes arising out of it shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action shall be filed exclusively in the state or federal courts located in California.

9. CHANGES TO TERMS

We reserve the right to update or modify these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this page or via email notifications for active subscribers. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
